1. Introduction

Harado.ai ("Harado.ai," "we," "our," or "us") provides a software-as-a-service (SaaS) platform (the "Service") that enables users to create, manage, and collaborate on business plans using the Harada method, including AI-assisted grid generation, milestone tracking, and related tools. The Service is accessible via our website at www.harado.ai (the "Website") and any associated mobile applications or APIs.

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Harado.ai governing your access to and use of the Service and Website. By accessing or using the Service or Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy and Cookies Policy (available at www.harado.ai/privacy), which is incorporated herein by reference. If you are using the Service on behalf of an organization or entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and "you" and "your" will refer to that Organization.

If you do not agree to these Terms, you must not access or use the Service or Website.

We may update these Terms from time to time. If the changes are material, we will provide notice via email to the address associated with your account or through the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

For users in certain jurisdictions (e.g., the European Economic Area ("EEA"), United Kingdom ("UK"), or California), additional mandatory consumer protection rights may apply and supersede conflicting provisions herein.

2. Eligibility and Scope

To use the Service, you must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and competent to enter into a binding agreement. If you are under the required age, you may not use the Service without the consent of a parent or legal guardian, who must agree to these Terms on your behalf.

You represent and warrant that: (a) you are not located in a country subject to comprehensive sanctions or embargoes that prohibit your use of the Service; and (b) your use complies with all applicable laws and regulations, including export controls.

These Terms apply to all users, including free users, paid subscribers, and those accessing the Service through an Organization account. If you are a user invited to an Organization's workspace (a "Managed User"), certain provisions (e.g., billing) may be governed by the Organization's separate agreement with us ("Customer Agreement"). In such cases, the Organization controls your access and data, and we disclaim liability for their actions.

3. Account Registration and Security

To access the Service, you must create an account by providing accurate, complete, and current information, including a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify us immediately at hello@harado.ai of any unauthorized access or use.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including for violations of these Terms. You may not create an account using false information or on behalf of someone else without authorization.

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes (or as authorized by your Organization). This license does not permit: (a) resale or commercial redistribution of the Service; (b) modification, reverse engineering, or decompilation of the Service; or (c) use in violation of applicable laws.

5. User Content and Data

You may upload, create, or submit content, including business plans, grids, text, files, and other materials ("User Content") to the Service. You retain ownership of your User Content, but by submitting it, you grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify (for technical purposes), display, and use your User Content to provide and improve the Service, including training AI models (subject to our Privacy and Cookies Policy).

You represent and warrant that: (a) you own or have the necessary rights to your User Content; and (b) your User Content does not infringe third-party rights or violate laws. We are not responsible for User Content and may remove it if it violates these Terms.

For Managed Users, User Content is controlled by the Organization, which may access, modify, or delete it. We disclaim liability for Organization actions regarding User Content.

6. AI Features, Disclosure, and Acceptable Use

The Service includes artificial intelligence ("AI") features for generating Harada grids, milestones, and suggestions ("AI Features"). Outputs from AI Features are generated probabilistically and may contain inaccuracies, biases, or inappropriate content. You are solely responsible for reviewing, verifying, and using AI-generated content appropriately.

AI Disclosure: We disclose that AI Features may use third-party models, and data processed through them is handled per our Privacy and Cookies Policy. Use of AI Features does not transfer ownership of AI models or underlying technology to you. AI-generated outputs should not be relied upon for high-stakes decisions (e.g., legal, financial, or medical advice) without independent verification.

Acceptable Use of AI Features: In addition to the general Acceptable Use Policy (Section 7), you agree to: (a) implement human oversight for critical decisions; (b) not represent AI outputs as human-generated without disclosure; (c) comply with all applicable AI ethics guidelines and laws; (d) not use AI Features for prohibited activities such as generating harmful, defamatory, or illegal content; (e) provide feedback on AI outputs upon request to help improve the Service; and (f) not train competing AI models using our outputs or attempt to circumvent AI safety measures.

We may monitor AI usage and suspend/terminate access for violations.

7. Acceptable Use Policy

You agree not to use the Service or Website in any manner that:

• Violates laws, regulations, or third-party rights (e.g., intellectual property, privacy), including UAE laws (e.g., PDPL, Cybercrime Law) and international laws (e.g., GDPR, export controls);
• Involves harmful, fraudulent, or deceptive activities (e.g., phishing, malware distribution);
• Promotes hate speech, harassment, discrimination, or violence;
• Infringes copyrights, trademarks, or trade secrets;
• Involves unsolicited communications (spam) or unauthorized advertising;
• Disrupts the Service (e.g., denial-of-service attacks, scraping without permission);
• Impersonates others or misrepresents affiliations;
• Involves child exploitation, grooming, or any content harmful to minors;
• Uploads sensitive personal data (e.g., health, financial) without consent;
• Competes with or replicates the Service without authorization;
• Circumvents safety filters or uses AI to generate prohibited content.

Violations may be reported to authorities if required by law. We may monitor usage and suspend/terminate access for violations, without liability.

8. Payments, Subscriptions, and Billing

The Service offers free and paid tiers (e.g., tiered pricing with free-to-paid upgrades). Paid subscriptions are billed via third-party processors (e.g., Stripe) on a recurring basis (monthly or annually) unless canceled.

You authorize us to charge your provided payment method for all fees, taxes, and charges. Fees are non-refundable except as required by law (e.g., UAE Consumer Protection Law cooling-off periods or GDPR consumer rights). We may adjust pricing with 30 days' notice.

For Organizations, billing is handled per the Customer Agreement. Overages (e.g., additional users) may incur extra fees.

9. Termination and Suspension

You may terminate your account at any time via the Service settings. Upon termination, access to the Service ends, but we may retain data as per our Privacy and Cookies Policy.

We may suspend or terminate your access without notice for: (a) violations of these Terms; (b) non-payment; (c) legal requirements; or (d) protection of the Service. Upon termination, all licenses cease, and you must delete any downloaded materials.

10. Intellectual Property

We own all rights, title, and interest in the Service, Website, AI models, and related intellectual property. No title transfers to you. Feedback you provide becomes our property without compensation.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE ACCURATE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING UAE LAW AND GDPR WHERE APPLICABLE), HARADO.AI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Harado.ai, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) violations of these Terms; or (d) your negligence or willful misconduct.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the competent courts of Dubai, United Arab Emirates. You consent to personal jurisdiction therein.

Notwithstanding the above, for disputes involving users in the EEA or UK, you may have rights to resolve disputes in your local courts under applicable consumer protection laws.

15. Miscellaneous

These Terms constitute the entire agreement between you and us. If any provision is unenforceable, the remainder remains in effect. No waiver of any breach is a waiver of future breaches. We may assign these Terms; you may not without our consent.
